Terms of Service

1. Agreement to Terms

By accessing or using Preorder ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users, including brand owners ("Merchants") and their customers ("Buyers").

2. Platform Description

Preorder provides tools for Merchants to create and manage pre-order campaigns for fashion and apparel products. The Platform facilitates payment collection via Stripe and provides order management tools. Preorder is not a party to transactions between Merchants and Buyers.

3. Merchant Accounts

To use the Platform as a Merchant, you must create an account and connect a Stripe account for payment processing. You are responsible for maintaining the security of your account credentials.

You represent that all information provided during registration is accurate and that you have the legal authority to operate your business and sell the products listed on your storefront.

4. Pre-Orders and Payments

Merchants set their own prices, product descriptions, and estimated delivery timelines. Merchants are solely responsible for fulfilling pre-orders and delivering products to Buyers.

Payments are processed through Stripe. Preorder collects a platform fee (as displayed at the time of account creation) on each successful transaction. Remaining funds are transferred to the Merchant's connected Stripe account.

Merchants are responsible for handling refunds, cancellations, and disputes with Buyers in accordance with applicable consumer protection laws.

5. Prohibited Conduct

You may not use the Platform to sell counterfeit goods, stolen property, illegal items, or items that violate third-party intellectual property rights. See our Acceptable Use Policy for full details.

You may not use the Platform to deceive Buyers, misrepresent products, or engage in fraudulent activity.

6. Intellectual Property

The Platform, its design, and underlying technology are owned by Preorder. Merchants retain ownership of their brand assets, product images, and descriptions uploaded to the Platform. By uploading content, you grant Preorder a non-exclusive licence to display that content as part of your storefront.

7. Limitation of Liability

Preorder provides the Platform "as is" without warranties of any kind. We do not guarantee uninterrupted service, nor are we liable for losses arising from transactions between Merchants and Buyers.

To the maximum extent permitted by law, Preorder's total liability to you shall not exceed the fees you have paid to us in the 12 months preceding the claim.

8. Termination

We may suspend or terminate your account at any time for violation of these terms or our Acceptable Use Policy. You may close your account at any time, but remain responsible for fulfilling any outstanding pre-orders.

9. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any similar state/territory legislation that cannot be excluded, restricted, or modified by agreement.

10. Changes to Terms

We may update these terms from time to time. We will notify Merchants of material changes via email. Continued use of the Platform after changes constitutes acceptance of the updated terms.

11. Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Victoria.
